These Terms & Conditions (“Terms”) govern the relationship between Axcom Limited (“Axcom”) and the Client.

By engaging Axcom, the Client agrees to these Terms in full.

1. Definitions

1.1 “Axcom”: Refers to Axcom Limited (Company No. 12091831), including its employees, sub contractors, agents, and authorised representatives.

1.2 “Client”: The Comany, entity or individual engaging Axcom to provide Services.

1.3 “Services”: Any professional services provided by Axcom, including but not limited to pre-production, Photography, Videography, Graphic Design, Web Development, revisions, and related creative and consulting work.

1.4 “Deliverables”: The final outputs, materials, or content produced as a result of Axcom’s Services.

1.5 “Intellectual Property” (IP): Includes all copyrights, trademarks, design rights, patents, know-how, and other proprietary rights associated with Deliverables produced by Axcom.

1.6 “Non-Disclosure Agreement” (NDA): A binding agreement to ensure confidentiality of all sensitive information exchanged between Axcom and the Client.

1.7 “Scope of Work”: The detailed description of Services and Deliverables, typically defined in the project proposal, quotation, or contract.

1.8 “Force Majeure”: Circumstances beyond a party’s reasonable control, including natural disasters, strikes, pandemics, or government restrictions.

2. Engagement of Services

2.1 Agreement to Provide Services: Axcom agrees to provide the Services described in the Scope of Work, subject to these Terms.

2.2 Acceptance of Quotations: Acceptance of a written quotation constitutes a binding agreement under these Terms.

2.3 Default NDA: Axcom’s standard NDA applies unless replaced by a custom NDA provided to the Client during onboarding or executed separately.

2.4 Client Obligations: Provide accurate and timely information, materials, and approvals necessary for Axcom to perform Services. “Timely” means within 2 business days of Axcom’s request unless otherwise agreed. Ensure all materials provided do not infringe third-party rights. Respond promptly to avoid delays. Axcom reserves the right to apply additional charges for delays.

2.5 Amendments to Scope: Changes to the Scope of Work must be confirmed in writing. Additional fees or timeline changes will apply.

3. Pre-Payments, Fees, and Payment Terms

3.1 Pre-Payments: Projects exceeding £10,000 require a 50% pre-payment, received in cleared funds no later than 14 days before the first travel or shooting day, whichever is sooner, with further milestone payments detailed in the Scope of Work.

3.2 Payment Terms: Remaining balances must be paid within 30 calendar days of invoice issuance unless otherwise agreed in writing. Payments can be made via bank transfer.

3.3 Late Payments: Statutory interest (8% above the Bank of England base rate) and fees under the Late Payment of Commercial Debts (Interest) Act 1998 will apply.

3.4 Expedited Fees: Accelerated timelines may incur additional charges, as specified in writing.

4. Filming, Workday Lengths, and Overtime

4.1 Standard Workday: A standard filming day includes up to 10 hours (setup, breakdown, and travel). A standard post-production day includes up to 8 hours. Meal and rest breaks are included in these hours.

4.2 Overtime Charges: Overtime is billed at 150% of the standard hourly rate specified in the Scope of Work unless otherwise agreed prior to the shoot commencement.

4.3 Adverse Conditions: Work may be suspended for safety concerns (e.g., adverse weather). Rescheduling may incur additional costs, as specified in Appendix B: Adverse Conditions Policy (Available upon request)

5. Ownership and Intellectual Property Rights

5.1 Ownership of Deliverables: All Deliverables remain the property of Axcom until full payment is received.

5.2 License for Use: Upon full payment, the Client is granted an exclusive, non-transferable license to use Deliverables for agreed purposes. Geographic and industry-specific restrictions apply unless otherwise agreed.

5.3 Raw Materials: Raw footage and project files remain Axcom’s property. Transfer can be arranged for fees outlined in Appendix C: Raw Materials Transfer Policy (Available upon request)

6. Cancellation Policy

6.1 Cancellation by Client: Cancellations after a quotation has been accepted:

14+ days before the project start date: 25% fee of the total project cost.

7–13 days: 50% fee.

<7 days: 100% fee.

7. Confidentiality, Privacy, and Data Protection

7.1 Confidentiality: Axcom will protect project details and materials as confidential for a period of 2 years post-project completion.

7.2 Data Protection: Axcom complies with GDPR. In case of data breaches, Axcom will notify the Client within 72 hours.

8. Liability and Insurance

8.1 Public Liability Insurance: Axcom holds £10 million in Public Liability Insurance.

8.2 Client Liability: The Client is responsible for ensuring materials provided are free from third-party claims and for damages caused to Axcom’s equipment or personnel.

8.3 Axcom Insurance Exclusions: Axcom is not responsible for providing insurance for vessels, vehicles, or other transport directly or not directly related to shoot production. All operators, pilots, and drivers are not covered by Axcom’s business insurance.

9. Force Majeure

Neither party is liable for delays or failures to perform due to Force Majeure. Fees will be prorated or refunded as outlined in Appendix F: Force Majeure Policy.

10. Governing Law

These Terms are governed by the laws of England and Wales.
